TERMS OF SERVICE

These terms and conditions (the “Terms and Conditions”) govern the use of NameLiquidation.ca (the “Site”).

By using this Site, you indicate that you have read and understand these Terms and Conditions and that you agree to abide by them at all times.

NameLiquidation.ca is a proprietary entity owned and operated by Sum Dumguy, 

Service Description

NameLiquidation.ca is a flat and fixed price marketplace for registered .CA domain names. The website offers owners of .CA domain names an opportunity to advertise .CA domain names they are prepared to liquidate for the sum of $99 in our marketplace for up to one year free of charge. If a domain name listed on the platform sells Name Liquidation assists the parties to effect the transfer of the domain from the seller to the buyer upon completion of which the seller receives $89 for their sold domain. If a domain name does not sell while listed is removed without charge to the lister. 

Listing and Selling Domain Names Using Name Liquidation

Sellers must own or be legally authorized to list and sell the domain names they advertise Name Liquidation. Sellers acknowledge that Name Liquidation is a fixed price marketplace where every domain name listed is priced at $99. Sellers receive $89 in consideration for every domain sold on the platform upon confirmation of its successful transfer to the buyer. All payments for sold domain names will be e-transferred to the email address provided by sellers at the time of listing. All information and correspondence regarding domain names listed or sold on NameLiquidation including transfer instructions will be sent to the email address sellers provide at the time of listing.

Domain names, their corresponding expiration dates and the name of the registrar where they are registered must be provided in the format specified at the time of submission in order to be published in our marketplace. Once published domains remain advertised in the NameLiquidation marketplace until they sell or expire whichever comes first. The maximum listing period is 365 days. 

Sellers agree to notify Name Liquidation if their domain name sells elsewhere. Sellers agree to notify NameLiquidation immediately of any changes to their account information or email address.

Sellers agree to relinquish control of, convey and to help facilitate the prompt transfer of domain names sold on the platform.

Sellers agree to provide NameLiquidation with the EPP (transfer) code provided by registrars to facilitate the transfer of the domain names between registrars and registrants for every domain name sold on the platform within 48 hours of being notified by NameLiquidation of the domain name's sale. If the Buyer and Seller both have accounts at the registrar where the sold domain name is registered, the Seller agrees to utilize and exercise whatever mechanisms the host registrar has in place to "push" domain names between accounts. Any failure on the part of a seller to deliver the EPP code or to help facilitate the conveyance of domain names sold on Name Liquidation whether by way of "push" or "transfer" will result in the cancellation of any pending sales, the removal of their domain listings from the platform and their disqualification from any and all further future use of the Site.

Buying Domain Names using NameLiquidation

Buyers are offered access to $99 domain names on a first come first served basis. Executing the BUY NOW button next to a domain name enables buyers to reserve that domain name for 60 minutes. Buyers are then sent an email confirming their order along with instructions on how to submit payment to us for it. If payment is not received within the allotted 60 minute time frame following the order, the order will be cancelled and any domains ordered will be returned to inventory where they will again become available for anyone to purchase. 

Upon receipt of a Buyer's payment NameLiquidation will immediately notify the Seller of the sale of their domain name and and instruct them to provide us with the requisite EPP code (transfer code) the buyer will need to initiate the domain name transfer between registrants. Sellers are on call to provide us with this information within 48 hours of being notified of the sale but we ask and hope they do it sooner. As soon as we receive the code from the Seller we will provide it to the Buyer at which time the Buyer can initiate the registrant and or registrar transfer process. To effect this Buyers must create or log into an account at their chosen domain name registrar, request a "transfer in", provide the domain name and  EPP code we give you and the domain name will be transferred into your name and account. If the Buyer and Seller both have accounts at the registrar where a sold domain name is registered, the Seller agrees to exercise and use whatever mechanisms the host registrar has in place to push domain names between accounts.

If the Seller fails to provide NameLiquidation with an EPP code within 48 hours of it's request the transaction may be terminated at the sole discretion of NameLiquidation. We can not and do not guarantee the performance of any party involved in transactions on our platform. As such Buyer's hereby do agree to hold NameLiquidation harmless in cases of Seller non performance. While NameLiquidation will reimburse the Buyer the $99 paid for their order NameLiquidation is not and will not be responsible for the failure of any Seller to act, or for any charges which may arise or be levied by any other party as a result of the failure of a Seller to act.

Service Limitations

NameLiquidation is an advertising platform. While we work with parties to help them facilitate the sale and transfer of domain names between one another NameLiquidation is neither licensed or bonded as an escrow agent, and does not advertise, purport to provide or provide escrow services. NameLiquidation is an online advertising platform and we act as a trusted agent for parties buying and selling domain names. We can not and do not guarantee the performance of any party involved in transactions on our platform. We do offer buyer protection however the limitation of our liability with respect damages caused by the failure of a seller to act in connection with a domain name sold and purchased on the platform is limited to the purchase price of that domain name, $99.

Intellectual Property

The content published and made available on our site remains the property of Sum Dumguy. This includes but is not limited to the images, texts, logos and anything that contributes to the composition of our Site. The domain names listed for sale on Name Liquidation remain the property of their respective owners.  

Limitation of Liability

Name Liquidation and it's proprieter will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of the Site. Buyers of domain names that are not delivered by the seller are covered and shall be reimbursed the cost of their purchase. Name Liquidation is not liable any fees levied by banks or other third parties. 

Indemnity

Except where prohibited by law, by using this Site you indemnify and hold harmless Sum Dumguy and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of the Site or your violation of these Terms and Conditions.

Applicable Law

These Terms and Conditions are governed by the laws of the Province of British Columbia, Canada. 

Jurisdiction

By using this Site you agree that any claims or disputes arising out said use shall be adjudicated subject to the laws and jurisdiction of the Court of Kings Bench located in Vancouver, British Columbia, Canada.

Severability

If at any time any of the provisions set forth in these Terms and Conditions are found to be invalid under applicable laws, those provisions shall be deemed void. All remaining provisions within the Terms and Conditions remain valid and in effect.

Changes

These Terms and Conditions may be amended at any time in order to remain compliant with applicable laws and or to reflect changes in the manner in which we operate our Site.
